| Section A - THE ORGANISATION |

- The organisation is called Vietnam Mission Charity.
- It is a non profit organisation.
- The organisation will be managed by a board of directors.
- Board of directors have the power to make alterations of the principles and activities that is suitable to deliver the activities of Vietnam Mission Charity.

- To help feed, cloth, provide healthcare, education, homes, facilities and all facets of poverty for only the poor people in Vietnam with any discrimination to religions or ethnicity.
|

|
| |
- General public who volunteer their services need to register by filling out a members registration form.
- Each member of Vietnam Mission Charity must notify the secretary of his/her change of address or phone number.

| Section D - GENERAL MEETINGS |
|

| |
- Board of directors must meet at-least twice a year.
- Each board of directors will need to prepare a report stating the important events or activities in the year eg. Financial reports, past events, future events, etc.

Section E - BOARD OF DIRECTORS
|

|
| |
- There must be at-least 4 members or more on the board. They are Chair, Vice Chair, Secretary and Treasurer.
- Candidates are elected by the board of directors.
Roles of board of directors.
Chair
- Chair of all board of directors meetings .
- Official speaker and representative of the organisation.
- Ultimate decision maker in an event of equal number of votes by the board of directors.
Vice Chair
- Assisting Chair in internal affairs.
- Act as Chair if Chair is absent.
Secretary
- Maintains and updates of all memberships and their information.
- Receive all information and activities related to the organisation.
- Keep records of all meetings.
- Provide reports for the general meetings.
Treasurer
- Keeps records of all financial matters .
- Prepare budget.
- Prepare monthly report of financial status to the board of directors.

| Section F - TERM AND CONDITIONS OF BOARD OF DIRECTORS. |

- The term of each board member is one year and shall be re-elected during the annual meeting at the end of each year.
- Board members shall not receive any income for their services to the organisation.
- Financial reimbursement is permitted in the case of per-approved cost incurred on behalf of Vietnam Mission Charity.
- Board of directors have the power to appoint patrons and ambassadors.

- No members have the right to own the properties of Vietnam Mission Charity.
- Properties include information relating to memberships and their contact details, investments and cash flow of the organisation.
- In the event of dissolution, the properties belonging to Vietnam Mission Charity will be distributed to other charities/non profit organisations voted by board of directors.

- The constitution can be altered , amended or replaced by new sections providing there are a majority of votes by the board of directors.
